Terms of Service

You must be at least 18 years old and able to form a binding contract to use the services. If you use the services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

We may modify the services or these Terms from time to time. If we make material changes, we will post the updated Terms and update the effective date above. Your continued use of the services after the effective date of the updated Terms constitutes acceptance of the changes.

If the services require an account, you are responsible for providing accurate information, maintaining the confidentiality of your credentials, and all activities that occur under your account. You must promptly notify us of any suspected unauthorized access or security incident involving your account.

Subject to these Terms, Actera Health grants you a limited, non-exclusive, non-transferable, revocable right to access and use the services for your internal business or personal use, as applicable and authorized by us.

You agree not to:

• use the services in violation of applicable law;
• access or use the services beyond authorized scope or for competitive benchmarking without our written consent;
• interfere with the operation, integrity, or security of the services;
• reverse engineer, decompile, or attempt to extract source code except to the extent such restriction is prohibited by law;
• upload malicious code, spam, or content that infringes the rights of others;
• use the services to transmit emergency communications or rely on them as a substitute for calling emergency services.

The services may support administrative, coordination, or informational workflows related to healthcare, but unless explicitly stated otherwise in a separate written agreement, the public-facing services and materials are provided for general informational purposes only and are not medical advice, diagnosis, or treatment.

Do not use the services for medical emergencies. Call 911 or contact appropriate emergency providers if you believe you are experiencing an emergency.

To the extent you submit or upload content through the services, you represent that you have the necessary rights to do so. You grant Actera Health a non-exclusive, worldwide license to host, use, process, reproduce, and transmit that content solely as necessary to operate, maintain, secure, and improve the services and as otherwise permitted by applicable agreements and law.

The services, including their software, design, text, graphics, logos, and other content, are owned by Actera Health or its licensors and are protected by intellectual property and other laws. Except for the limited rights expressly granted in these Terms, no rights are granted to you.

The services may integrate with or link to third-party websites, applications, data sources, or services. We do not control and are not responsible for third-party services, and your use of them may be governed by separate terms and privacy policies.

To the fullest extent permitted by law, the services are provided “as is” and “as available” without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

To the fullest extent permitted by law, Actera Health and its affiliates, officers, employees, agents, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, goodwill, data, or business interruption, arising out of or related to your use of the services.

To the fullest extent permitted by law, the total liability of Actera Health for all claims arising out of or relating to the services or these Terms will not exceed the greater of US$500 or the amounts you paid to Actera Health for the services in the twelve months preceding the event giving rise to the claim.

You agree to defend, indemnify, and hold harmless Actera Health and its affiliates, officers, employees, agents, and licensors from and against claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to your use of the services, your content, or your violation of these Terms or applicable law.

We may suspend or terminate your access to the services at any time, with or without notice, if we believe you have violated these Terms, pose a security or legal risk, or if we otherwise discontinue the services. Sections that by their nature should survive termination will survive.

These Terms are governed by the laws of Virginia, without regard to conflict of laws rules. Any dispute arising from or relating to these Terms or the services will be brought exclusively in the state or federal courts located in Fairfax County, Virginia, and you consent to those courts' jurisdiction.
